Terms of service

Last updated 2 August 2026. These terms apply to every workspace on TenderResponseOS.

1. The service

TenderResponseOS is a tender response desk. It ingests tender documents, extracts requirements, drafts response content with AI agents and assembles an export pack. It is a drafting and compliance-support tool, not a legal, accounting or procurement advisory service.

2. Accounts and workspaces

You are responsible for the accuracy of the company details you register, for the users you invite into your workspace and for keeping sign-in credentials secure. Each bidding entity you load is a separate client record inside your workspace and its content is isolated from other workspaces.

3. Plans, credits and single tender unlocks

Monthly plans include a stated number of tender packs and pipeline credits. Credits fund individual agent runs; once a workspace balance reaches zero, new AI runs pause until credits are topped up or the plan renews. Single tender unlocks are once-off and apply only to the tender they were bought for. Unused credits do not expire while a plan is active, and are not refundable in cash.

4. Billing and VAT

Payments are processed in ZAR by Paystack. Subscriptions renew automatically on the monthly anniversary of purchase until cancelled from the billing page. All listed prices are exclusive of VAT unless marked inclusive; VAT of 15% is added at checkout where applicable and is shown on your invoice.

Cancelling stops future renewals; it does not refund the current period. Failed renewals suspend AI runs but do not delete your work.

5. AI output and your responsibility

Agent output is a draft. You remain the bidder and are solely responsible for verifying every factual claim, price, certificate, reference and compliance statement before submission. Outputs may contain errors or omissions and must not be submitted unreviewed. We give no warranty that a generated pack will be responsive, compliant or successful.

The desk keeps each client's output distinct: drafts are fingerprinted so two clients bidding on the same tender do not receive similar content.

6. Your content

You keep ownership of the tender documents, evidence, past submissions and branding you upload, and of the packs the desk produces for you. You grant us the limited right to process that content to operate the service. We do not use your content to train shared models, and past submissions are indexed only for retrieval inside your own workspace.

7. Acceptable use

Do not upload content you have no right to use, attempt to access another workspace, resell desk access without a consultancy plan, or use the service to misrepresent a bidder's capability, certification or B-BBEE status.

8. Availability and liability

We aim for continuous availability but do not guarantee uninterrupted service; AI providers and payment processors are third parties. To the extent permitted by law, our total liability for any claim is limited to the fees you paid in the three months before the claim. We are not liable for lost tenders, lost profit or disqualification.

9. Termination

You may stop using the service at any time and request deletion of your workspace. We may suspend a workspace for non-payment or breach of these terms, with notice where practical.

10. Governing law

These terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts.
